Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of www.mrch.shop (the "Site") and the MRCH marketplace (together with the Site, "MRCH"). MRCH is operated by Backstage AI, LLC ("Backstage AI," "we," "us," or "our"). By visiting the Site, creating an account, placing an order, or publishing a design for sale, you agree to be bound by these Terms. If you do not agree, please do not use MRCH.

These Terms apply to everyone who uses MRCH, including people who browse or buy products ("Buyers") and people who design and publish products for sale through the MRCH apps ("Sellers"). If you use MRCH as a Seller, a separate Seller Agreement presented to you inside the MRCH app applies to your activity as a Seller in addition to these Terms. If there is a direct conflict between these Terms and the Seller Agreement on a matter the Seller Agreement specifically addresses, the Seller Agreement controls for that matter; these Terms control everything else, including all Buyer-facing terms.

You must be able to form a legally binding contract to use MRCH. If you are using MRCH on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

2. What MRCH is and how it works

MRCH is a marketplace where independent creators design merchandise using the MRCH apps (available on iOS, Android, and the web at sellmerch.ai) and publish those designs for sale on the Site. Every product sold on MRCH is made to order: an item is only produced after a Buyer places an order for it. Backstage AI, LLC operates the storefront, processes payments through Shopify's payment infrastructure, coordinates production and delivery with third-party production partners, and pays Sellers their share of each sale in accordance with the Seller Agreement.

3. User content and ownership

Sellers retain full ownership of the designs, artwork, text, and other content they upload and publish through MRCH ("Seller Content"). We do not claim ownership of Seller Content simply because it is hosted or sold on MRCH.

By publishing Seller Content on MRCH, a Seller grants Backstage AI, LLC a non-exclusive, worldwide, royalty-free license to display, reproduce, print, market, and sell that Seller Content on products through MRCH, and to use images of the resulting products in marketing and promotion of the MRCH marketplace. This license lasts for as long as the listing remains published, plus a reasonable wind-down period afterward solely to complete pending orders, process returns, and fulfill any other obligations tied to orders placed before the listing was removed. A Seller may remove a listing at any time, subject to the completion of orders already placed for it.

4. Seller responsibility for intellectual property

Sellers are solely responsible for the content they upload and publish on MRCH. By publishing any design or other content, a Seller represents and warrants that:

  • they own the content, or have all rights, licenses, consents, and permissions necessary to publish, reproduce, print, and sell it through MRCH;
  • the content does not infringe or violate any copyright, trademark, right of publicity or privacy, or other intellectual property or proprietary right of any third party; and
  • the content complies with applicable law and with the content rules described in these Terms.

Backstage AI, LLC does not review every design before it is published and is not responsible for verifying a Seller's rights to the content they upload. If a third party claims that a Seller's content infringes their rights, that claim, and any resulting costs, damages, fines, or legal fees, are the responsibility of the Seller who published the content, not Backstage AI, LLC.

Each Seller agrees to indemnify, defend, and hold harmless Backstage AI, LLC and its officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or connected with the Seller's content, the Seller's breach of these Terms or the Seller Agreement, or the Seller's violation of any law or third-party right.

5. Backstage AI, LLC's role

Backstage AI, LLC operates MRCH as a marketplace and technology platform that connects Sellers with Buyers. We are not the author, creator, or owner of any Seller Content, and we do not endorse or guarantee any product listed on MRCH. Because listings are created and uploaded by independent Sellers, we act solely as an intermediary and are not responsible for the accuracy, legality, or originality of the content Sellers publish.

We may, at our discretion and without prior notice, remove or suspend any listing, cancel any order, or suspend or terminate any account, including in response to a report or notice of alleged infringement, a violation of these Terms, or any other reason we believe protects MRCH, its users, or third parties.

6. Copyright and trademark complaints

We respect the intellectual property rights of others and expect Sellers to do the same. If you believe that content on MRCH infringes your copyright, trademark, or other right, please send a written notice to info@backstageai.com that includes:

  • identification of the copyrighted work or trademark you believe has been infringed;
  • identification of the specific listing or content you believe is infringing, including a link or other information sufficient for us to locate it;
  • your name, mailing address, telephone number, and email address;
  • a statement that you have a good faith belief that the use is not authorized by the rights owner, its agent, or the law; and
  • a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the rights owner or authorized to act on the rights owner's behalf, along with your physical or electronic signature.

Upon receiving a complete and valid notice, we will remove or disable access to the reported content and notify the Seller who published it. A Seller who believes their content was removed in error may submit a counter-notice to info@backstageai.com identifying the removed content and explaining, under penalty of perjury, why the removal was a mistake or misidentification, along with their name, address, phone number, and a statement consenting to the jurisdiction of the appropriate federal court. We may restore the content after a counter-notice unless the original complainant informs us that they have filed a legal action seeking to restrain the Seller from the infringing activity.

We maintain a repeat-infringer policy. Accounts that are the subject of repeated, substantiated infringement notices will have their listings removed and may be suspended or permanently terminated at our discretion.

7. Prohibited content

The following content is prohibited on MRCH, and any listing containing it will be removed:

  • content that infringes a copyright, trademark, right of publicity, or other intellectual property or proprietary right of any person or entity;
  • hateful, discriminatory, or harassing content directed at an individual or group based on a protected characteristic;
  • content that is illegal, that promotes illegal activity, or that violates applicable law;
  • sexual content involving, or that appears to involve, minors, which is strictly prohibited and will be reported to the appropriate authorities;
  • content that impersonates another person or entity, or falsely implies an affiliation, endorsement, or sponsorship that does not exist;
  • content that is defamatory, obscene, threatening, or that promotes violence or self-harm; and
  • content that is fraudulent, deceptive, or intended to mislead Buyers about the nature or origin of a product.

8. Orders, pricing, and payment

Prices shown on the Site are listed in U.S. dollars unless otherwise indicated. Applicable taxes and shipping charges are calculated and displayed at checkout before you complete your purchase. Payments are processed securely through Shopify's payment infrastructure.

Because every item is made to order after you place it, we reserve the right to cancel or refuse an order at our discretion, including where a product cannot be produced as described, where we suspect fraud, or where a listing is removed for violating these Terms. We will notify you and issue a refund if we cancel an order. 9. Product appearance

We make reasonable efforts to display product colors, textures, and design placement accurately, but the actual appearance of a printed or manufactured product may vary slightly from the preview shown on your screen due to differences in materials, manufacturing processes, and display calibration. Minor variation of this kind is not considered a defect.

10. Disclaimer of warranties and limitation of liability

MRCH and all products sold through it are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, Backstage AI, LLC's total liability to you for any claim arising out of or relating to MRCH or an order will not exceed the amount you paid for the order giving rise to the claim. Backstage AI, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of MRCH.

11. Termination

You may stop using MRCH at any time. We may suspend or terminate your access to MRCH, or remove any listing or order, at our discretion, including for a violation of these Terms, suspected fraud, or an infringement complaint. Sections of these Terms that by their nature should survive termination, including Sections 3, 4, 6, 10, and 12, will continue to apply after termination.

12. Changes to these terms

We may update these Terms from time to time to reflect changes in our practices or for legal, regulatory, or operational reasons. When we make material changes, we will update the "Last updated" date below. Your continued use of MRCH after a change takes effect means you accept the updated Terms.

13. Governing law and severability

These Terms are governed by the laws of the United States and the state in which Backstage AI, LLC is organized, without regard to conflict-of-law principles. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
